4. Nature of Engagement

Bookingbox acts as a service provider.

  • No employment, agency, or partnership relationship is created between the client and Bookingbox or any individual involved in service delivery

  • Bookingbox resources remain under Bookingbox management or that of its partners

  • The client agrees not to represent Bookingbox or its resources as employees

5. Use of the Website

You agree to:

  • Use the website only for lawful purposes

  • Not misuse, disrupt, or attempt to gain unauthorized access

  • Not reproduce or distribute content without permission

Bookingbox reserves the right to restrict access in case of misuse.

6. Service Delivery
  • Services are delivered based on the selected package or agreed scope

  • Activities may include outreach, coordination, engagement, and commercial execution

  • Delivery timelines depend on client cooperation and external market conditions

Bookingbox does not guarantee specific results, including:

  • Leads generated

  • Contracts signed

  • Revenue achieved

7. Client Responsibilities

The client agrees to:

  • Provide accurate and complete information

  • Respond in a timely manner

  • Support execution where required

Failure to do so may affect delivery and outcomes.

8. Fees and Payment Terms
  • Services are paid in advance, unless agreed otherwise

  • Pricing may be based on packages, hourly blocks, or retainers

  • VAT may apply

Bookingbox reserves the right to:

  • Suspend services in case of non-payment

  • Adjust pricing for renewals or scope changes

9. Activation of Services

Services commence only after:

  • Payment is received

  • Scope is confirmed

10. Third-Party Resources

Bookingbox may collaborate with third-party providers or partners.

  • These parties operate independently

  • Bookingbox coordinates delivery but is not responsible for third-party internal operations

11. Replacement and Continuity

If a resource becomes unavailable:

  • Bookingbox will make reasonable efforts to provide a replacement

  • Continuity will be maintained where possible

12. Confidentiality

Both parties agree to:

  • Keep all shared business and commercial information confidential

  • Not disclose information without prior written consent

This obligation continues after the engagement ends.

13. Non-Solicitation

The client agrees not to:

  • Directly hire, contract, or engage Bookingbox resources or partners

  • Circumvent Bookingbox to access the same resources

This restriction applies during the engagement and for 24 months after termination, unless agreed otherwise.

14. Intellectual Property

All materials, frameworks, and methodologies remain the intellectual property of Bookingbox.

Clients may use deliverables for internal business purposes only.

15. Limitation of Liability

Bookingbox shall not be liable for:

  • Indirect or consequential losses

  • Loss of revenue, profit, or opportunity

Total liability is limited to the amount paid for the services.

16. Termination

Either party may terminate the engagement with written notice, subject to agreed terms.

Prepaid fees are non-refundable once services have started.

17. Force Majeure

Bookingbox is not liable for delays or failure to perform due to events beyond its control.

Service-Specific Terms

The following sections apply depending on the services selected by the client.

18. Business Consulting

All consulting services are advisory in nature.

The client remains responsible for decisions and implementation. No specific outcomes are guaranteed.

19. Country Partners

Bookingbox may collaborate with local partners.

  • Partners operate independently

  • Bookingbox facilitates access but does not control their operations

  • Separate agreements may apply

20. Creative Talent

Bookingbox may introduce or coordinate creative professionals.

  • Talent may be independent contractors

  • Bookingbox acts as facilitator unless agreed otherwise

  • Deliverables may be subject to separate agreements

21. Language Support

Language support is delivered remotely.

While cultural and linguistic considerations are applied, final validation remains the responsibility of the client.

22. Market Entry Services

Bookingbox supports companies entering new markets.

  • Success depends on external factors

  • No guarantee of market penetration or revenue is provided

23. Market Intelligence

Insights and research are indicative and based on available information.

Bookingbox is not liable for decisions made based on this information.

24. Network & Visibility

Bookingbox may provide access to its network.

  • Introductions are made at Bookingbox’s discretion

  • No guarantee of engagement or outcomes

25. Opportunity Access

Bookingbox may identify and introduce opportunities.

  • Opportunities are non-exclusive unless agreed

  • No guarantee of conversion or deal closure

26. Representation

Bookingbox may act as a commercial representative.

  • Bookingbox is not a legal agent unless explicitly agreed

  • Authority to negotiate must be defined in writing

27. Retainers & Advisory

Retainers secure ongoing availability.

  • Time allocation may vary

  • Unused time is not automatically carried forward unless agreed

28. Workshops

Workshops and training are provided for guidance.

Outcomes depend on client engagement and follow-up.

29. Governing Law

These Terms are governed by the laws of England and Wales.

30. Drone Market Access – Client Services

The following terms apply where Bookingbox Ltd provides drone-related services through the Drone Market Access platform.

30.1 Nature of the Service

Drone Market Access is a commercial platform operated by Bookingbox Ltd that connects clients with independent drone professionals and drone service companies worldwide.

Bookingbox may:

  • receive project enquiries;

  • identify suitable drone professionals;

  • prepare quotations;

  • coordinate communications;

  • manage project delivery;

  • invoice clients;

  • collect payments;

  • coordinate payments to service providers.

30.2 Independent Service Providers

Drone pilots and drone companies listed on Drone Market Access operate as independent businesses.

Unless expressly agreed otherwise in writing:

  • they are not employees of Bookingbox Ltd;

  • they are not agents of Bookingbox Ltd;

  • they are responsible for their own licences, insurance and legal compliance.

30.3 Quotations

Bookingbox prepares quotations based upon the project requirements.

The quoted price may include:

  • drone services;

  • project management;

  • travel;

  • accommodation;

  • permits;

  • insurance;

  • editing;

  • reporting;

  • administration;

  • commercial margins;

  • other associated services.

The client agrees that Bookingbox determines the commercial price presented for the project.

30.4 Payment

Unless agreed otherwise:

  • Bookingbox invoices the client.

  • Full or partial payment may be required before work commences.

  • Bookingbox distributes payments to participating service providers.

30.5 Project Changes

Changes requested after quotation acceptance may result in revised pricing, revised schedules or revised scope.

30.6 Compliance

The client is responsible for ensuring that access permissions, site permissions and any required approvals under their control are available before the project begins.

30.7 No Guarantee of Regulatory Approval

Drone operations remain subject to:

  • local aviation regulations;

  • weather;

  • airspace restrictions;

  • government approvals;

  • safety considerations.

Bookingbox cannot guarantee that every requested flight can legally be undertaken.

31. Drone Market Access – Pilot & Service Provider Membership

The following terms apply to drone pilots, drone companies and other service providers registered with Drone Market Access.

31.1 Independent Contractor

Members remain independent businesses.

Nothing within Drone Market Access creates an employment relationship, partnership or agency between the Member and Bookingbox Ltd.

31.2 Professional Requirements

Members confirm that they:

  • hold all required licences and certifications;

  • maintain appropriate insurance where required;

  • comply with local aviation regulations;

  • operate safely and professionally;

  • maintain accurate profile information.

31.3 Commercial Relationship

Bookingbox Ltd operates Drone Market Access as a commercial brokerage and project coordination platform.

Bookingbox may:

  • source projects;

  • negotiate with clients;

  • coordinate assignments;

  • prepare quotations;

  • manage project communications;

  • invoice clients;

  • receive payments;

  • pay Members their agreed service fees.

31.4 Service Fees

Members determine the service fee they require for each assignment.

Bookingbox may accept, negotiate or decline that fee before presenting a quotation to the client.

Once agreed, the Member shall receive the agreed service fee unless otherwise confirmed in writing.

31.5 Commercial Pricing

Bookingbox Ltd determines the final commercial quotation presented to clients.

The final quotation may include:

  • administration fees;

  • brokerage fees;

  • project management fees;

  • coordination services;

  • travel costs;

  • banking costs;

  • payment processing costs;

  • insurance costs;

  • marketing costs;

  • commercial margins;

  • other associated project costs.

Members acknowledge that the final commercial price presented to the client may differ from the Member's agreed service fee.

31.6 Assignment Acceptance

Members remain free to accept or decline project opportunities.

Once accepted, Members agree to deliver services professionally and in accordance with the agreed project specification.

31.7 Payment

Unless agreed otherwise:

  • Bookingbox pays Members after receiving payment from the client.

  • Deposits or staged payments may be used where appropriate.

  • Payment schedules may vary depending upon project requirements.

31.8 Client Relationships

Members shall not negotiate commercial pricing directly with clients introduced through Drone Market Access without Bookingbox's prior written approval.

Operational communication necessary for project delivery is permitted.

31.9 Non-Circumvention

Members agree not to directly or indirectly contract with clients introduced through Drone Market Access for a period of twenty-four (24) months without the prior written consent of Bookingbox Ltd.

31.10 Quality Standards

Members agree to maintain professional standards appropriate to the services they provide.

Bookingbox reserves the right to suspend or remove Members whose conduct may damage the reputation of Bookingbox Ltd or Drone Market Access.

31.11 Marketing

Members grant Bookingbox permission to use publicly available profile information and approved project references for marketing Drone Market Access unless restricted by client confidentiality obligations.
